Server Colocation Service AgreementiCore Technology Sdn. Bhd.

1. Prohibited Activities and Content

iCoreHosting prohibits any use of its infrastructure for activities or content including but not limited to pornography, unsolicited bulk email (spam), fraudulent activity, or any use that violates applicable laws or regulations in Malaysia. The Client acknowledges that they have reviewed and understood the policies available at https://www.icore.com.my/policies. iCoreHosting reserves the unilateral right to suspend or terminate services upon breach of this provision.

2. Scope of Basic Support Services

iCoreHosting shall provide first-level support which includes:

  • Power cycling (restarting) of equipment,
  • Observation and reporting of indicator lights or console messages,
  • Physical reconnection of network cables.

No support shall be extended to the Client in relation to software, operating system, security configurations, or remote technical interventions unless expressly agreed in writing.

3. Service Availability and Warranty Disclaimer

The Client acknowledges and agrees that iCoreHosting does not guarantee uninterrupted or error-free service. No warranties are provided regarding the outcome, performance, or reliability of services. iCoreHosting disclaims any responsibility for content transmitted or stored on its infrastructure.

4. Client’s Data and Software Responsibility

The Client retains sole ownership and responsibility for all data and equipment colocated at iCoreHosting. iCoreHosting shall not be held liable for any data loss, unauthorized access, or content breaches resulting from system vulnerabilities, cyberattacks, or the Client’s internal security failures. The Client shall be responsible for ensuring all software licenses are valid and compliant.

5. Payment Terms and Fee Adjustments

Service fees are due as invoiced. The following consequences apply upon non-payment:

  • Payments overdue by more than three (3) calendar days will result in service suspension.
  • Payments overdue by thirty (30) calendar days will result in service termination.
  • A reconnection fee of RM100 shall be applied for suspended services.
  • A reactivation fee of RM250 shall be applied for terminated services, in addition to all outstanding balances.

iCoreHosting reserves the right to revise pricing with a thirty (30) day written notice and subject to mutual agreement.

6. Equipment Removal and Storage Obligations

Upon termination of service, the Client shall remove all colocated equipment within seven (7) working days. If not:

  • iCoreHosting may disconnect and store the equipment beginning on the eighth (8th) business day.
  • Storage fees of RM25 per RU per day shall accrue thereafter.
  • Equipment not removed within thirty (30) days shall be deemed abandoned. iCoreHosting reserves the right to dispose of or repurpose such equipment without compensation. Any accrued fees exceeding the equipment value shall remain payable by the Client.

7. Use of Debt Collection Services

Should the Client fail to pay outstanding balances following service termination, iCoreHosting may refer the matter to an external debt collection agency. All recovery costs, including legal fees and collection charges, shall be borne by the Client.

8. Physical Access and Security Requirements

All data center access requests must be submitted a minimum of one (1) business day in advance. Only pre-authorized personnel bearing valid government-issued identification will be granted access. iCoreHosting reserves the right to deny access for non-compliance or safety violations.

9. Emergency Action Protocols

iCoreHosting reserves the right to disconnect power or network services immediately, without prior notice, should client equipment endanger facility integrity or operational stability. A formal report will be provided to the Client within twenty-four (24) hours of the incident.

10. Force Majeure

iCoreHosting shall not be liable for any delays or failures resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, civil unrest, terrorism, labor strikes, governmental actions, or third-party service outages.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless iCoreHosting, its directors, employees, agents, and contractors from any and all claims, damages, liabilities, and legal expenses arising from:

  • Breach of this Agreement,
  • The Client’s use or misuse of the services,
  • Compliance with law enforcement or regulatory orders,
  • Actions or omissions of the Client’s personnel or representatives.

12. Termination and Data Disposal

Upon termination of service:

  • All access credentials will be disabled immediately.
  • iCoreHosting shall not be responsible for data backups or retention.
  • Equipment not collected within sixty (60) days may be disposed of without further notice.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Disputes shall be resolved first through good faith negotiation. If unresolved, the matter may proceed to mediation, and thereafter, to litigation within a court of competent jurisdiction.

14. Agreement Modifications and Notices

This Agreement constitutes the entire agreement between the parties. No amendments shall be valid unless in writing and signed by both parties. Notifications shall be issued electronically to the Client’s designated email address.


Appendix

Storage Fee: RM25 per RU per day effective on the 8th business day post-termination

Emergency Disconnection: May occur without prior notice, subject to written justification within 24 hours

Colocated Equipment Definition: Includes but is not limited to rack-mounted servers, switches, PDUs, and structured cabling within the assigned space

Effective Date: 16 May 2025

The Client acknowledges and agrees that iCoreHosting reserves the right to update, amend, or modify the contents of this Agreement at any time without prior notice. The latest version will always be made available at https://www.icore.com.my/policies.
